Umair Alam is an Advocate of the High Courts in Pakistan, specializing in corporate & commercial matters including transactional advisory across a wide range of industries and sectors.

 

Prior to joining the firm, Umair worked at prestigious law firms, namely Haidermota & Co., Surridge & Beecheno and Liaquat Merchant Associates, representing local and international clients on local and cross-border M&A transactions, restructuring, joint ventures, corporate compliance & governance, public offerings, fintech, and regulatory matters.

 

Umair has also successfully represented clients in selected contentious matters before the High Court, tribunals, and regulators.



Anti-Trust

• Advising clients with respect to merger approvals, prohibited agreements, abuse of dominant position, collusive practices, and deceptive advertising.

 

Banking & Project Finance

• Advised an international bank with respect to offering a cross-border multi-product online trading platform and a foreign exchange trading platform to investors in Pakistan.

• Advised a foreign fintech entity on licensing requirements for establishing a payment systems operator in Pakistan and acquiring relevant regulatory license to do so.

• Advised a German start-up incubator to set up and operate an electronic payment gateway in Pakistan.

• Advised in relation to an insurance claim involving more than USD 560 million concerning rental power plants in Pakistan.

• Advised a bank in relation to the launch of its Shariah-compliant financing products and drafted documentation for Istisna, Ijarah, and Salaam etc. in accordance with SBP guidelines.

• Advised banks in Pakistan on the inter-governmental agreement for automatic information sharing between Pakistan and United States as a member of the Working Group for Implementing the U.S. Foreign Account Tax Compliance Act (“FATCA”) in Pakistan.

 

Corporate & Commercial

• Advised on structuring intra-group agreements between group entities of a global FMCG.

• Advised on the entry of a major ride-sharing platform to Pakistan, including corporate structuring, analysis of applicable regulatory laws, drafted operational agreements, and drafted proposal for legislative amendments to introduce regulations for digital ride hailing companies in Pakistan.

• Advised on the structuring of intra-group agreements for wholesale services with a major Pakistani telecom provider.

• Advised on establishing a liaison office for a foreign shareholder on the board of a listed company.

• Advised a large textile manufacturer on its restructuring.

• Advised minority shareholders on rights and remedies and devising strategies to influence corporate decisions and obtain key disclosures.

• Advised on an international toll-manufacturing arrangement for cosmetic products. 

• Advised on deregistration/transfer of business, incorporated a new company, and drafted documentation for transfer of employees, assets, liabilities, and contract novation.

• Represented a major logistics company in a PKR 3.6 billion investment deal with a foreign investor.

• Advised foreign investors on the issuance of convertible notes for investment in a Pakistani company.

• Advised the Pakistan Government on the proposed issuance of government securities (diaspora bonds) in the MENA region.

 

Mergers & Acquisitions; Restructuring

• Advised sponsors of a pharmaceutical manufacturing company on an exit.

• Advised majority shareholders of listed company on a proposed strategic sale of shares through competitive bidding and transfer of management control.

• Advised the majority shareholder of seven group companies on purchasing shares within a negotiated settlement agreement.

• Advised a family group on acquiring 70% shareholding of an unlisted public limited company.

• Advised a multinational company on divesting 25% shareholding in a listed Pakistani company.

• Advised a multinational company on acquisition of majority shareholding and control of a listed brokerage house in Pakistan.

• Advised a leading multinational electrical equipment manufacturer on its 100% acquisition of one of the largest electrical appliance manufacturers of Pakistan.

• Advised a major multinational conglomerate on the Pakistani law aspects of its global divestment/carve-out of its global power/energy-related business.

• Advised a multinational company on the Pakistani law aspects related to the carve-out and spin-off of a majority global gas/power business into a new entity.

• Advised a German multinational on investment in a Pakistani entity through a foreign holding company. 

 

Technology & Media 

• Advised a major business group on its joint-venture with a foreign entity to launch Pakistan’s first subscription video on-demand streaming service.

 

Real Estate

• Advised a multi-national real estate agency on potential real estate joint-venture projects in Pakistan.
