•   Advising the Privatization Commission of Pakistan in connection with the privatization of three power distribution companies.

•   Advising the Privatization Commission of Pakistan in connection with the privatization of a state-owned bank.

Public Private Partnerships

•   Advised a government ministry in the Sultanate of Oman on the rehabilitation of a hospital on a PPP basis, including preparation of a draft partnership agreement for the project.

•   Advised a government ministry in the Sultanate of Oman on the construction of 42 schools on a PPP basis and assisted with the bidding process.

•   Preparation of bidding documents for 120MW and 150MW Solar Independent Power Plants (IPPs) in Sindh, Pakistan under site specific Tariff Based Competitive Bidding.

•   Preparation of bidding documents for a 50MW (PV) Solar Independent Power Plant (IPP) at Taluka Manjhand, District Jamshoro, Sindh, Pakistan under site specific Tariff Based Competitive Bidding.

•   Preparation of bid documents and contract negotiation for the dualization, development, operation, and maintenance of a road in Punjab.

•   Preparation of bid documents for the construction, development, operation and maintenance of a motorway in Sindh.

•   Preparation of bid documents for the construction, development, operation and maintenance of a motorway in Khyber Pakhtunkhwan.

•   Preparation of bid documents and contract negotiation for the dualization, development, operation, and maintenance of a road in Punjab.

Power Generation

•   Advised Engro Vopak Private Limited on the Implementation Agreement to be executed with Port Qasim Authority.

•   Advised the lenders in respect of a 50 MW wind power project during the conditions precedent satisfaction process.

•   Advised an independent power producer in the matter of the wrongful award of bid and the appeal before the grievance redressal committee.

•   Advised Shams Power Limited on Power Purchase Agreements, Lease Agreements, Equipment Sale Agreements, and other regulatory matters for projects including AkzoNobel, Fauji Foundation, Metro, Nishat Hyundai and Packages Mall.

•   Advised an independent power producer on the preparation of project documents for a 50 MW Solar Power Project.

•   Advised an EPC contractor on Engineering, Procurement and Construction Contracts, Simple Cycle and Operation and Maintenance Agreement and Long-Term Supply Agreement for a 1263.2 MW (Gross) RLNG project.

•   Advised an independent power producer on the Power Purchase Agreement and Engineering, Procurement and Construction Contracts for a 200 MW Dual Fuel (RLNG/RFO) project.

•   Advised an EPC contractor on claims against the project company for extension of time and increase in cost, and other regulatory matters, in connection with a solar power project.

•   Assisted with the incorporation of a project company for a 1320MW Coal Power Plant and advised on the Power Purchase Agreement, Engineering, Procurement and Construction Contracts, feasibility report and construction of the coal jetty.

•   Advised an independent power producer on the preparation of a cost-plus generation tariff application for a 120 MW gross co-generation thermal power project based on bagasse and coal fuel.

•   Advised Lucky Electric Private Limited on the Power Purchase Agreement, Implementation Agreement, application for Generation Licence and other regulatory matters for a 660 MW Super-critical Coal Power Plant.

•   Advised Siddiqsons Energy Limited on the Power Purchase Agreement, Implementation Agreement, application for Generation Licence and other regulatory matters for a 330 MW Coal Power Plant.

Mergers and Acquisitions

•   Advising Fauji Cement Company Limited and Kot Addu Power Company Limited on the acquisition of a majority stake in Attock Cement.

•   Advised Maticmind S.p.A on the acquisition of General Dynamics Mission Systems Gulf and related matters.

•   Carried out a due diligence exercise for an Omani company in the fragrance and perfume industry in connection with the acquisition of a target company valued at USD 31.2 million.

•   Advised Iv3 Aqua Corporation on the acquisition of the Qurrayat Desalination Plant in Oman.

•   Carried out a due diligence exercise in respect of Engro Powergen Qadirpur Limited, Engro Powergen Thar Limited and Sindh Engro Coal Mining Company for the purposes of a potential acquisition.

•   Advised on the acquisition of TNB Liberty Power Limited by AsiaPak Investments Limited.

Corporate Advisory and Shareholders Matters

•   Advised a mining company on shareholders’ matters, prepared minutes of meetings and drafted mining term sheets and agreements.

•   Incorporation of a foreign company’s branch office in Pakistan in connection with a major mining project.

•   Advised a power company on the drafting of Articles and Memorandum of Association, Shareholders Agreement and Joint Venture Agreement in connection with a joint venture.

•   Advised a power company on the drafting of shareholders agreements and other regulatory matters.

Financing

•   Advised National Bank of Pakistan and BankIslami, as lenders, on the preparation of security documents for the issuance of a guarantee.

•   Advised lenders’ counsel on the preparation of a share pledge agreement, convertible loan agreement and options agreement in Oman.

EPC Contracts

•   Advised Indus Cloud, subsidiary of Master Group Limited, on the preparation of onshore and offshore contracts for the provision of cloud services.

•   Advised Sindh Engro Mining Company on the preparation of onshore and offshore contracts for train loading services.

•   Advising K-Electric on the negotiation of onshore and offshore contracts for the procurement of an Advanced Distribution Management System with a prospective bidder.

PROFESSIONAL DEVELOPMENT

•   April – May 2024, United States of America: Selected from Pakistan to participate in the International Visitors Leadership Programme (IVLP), a multi-regional programme on Renewable Energy as an Economic Driver hosted by the US State Department.
