Waleed completed his LLB from Bahria University Islamabad in 2019 and his LLM from University of California, Berkeley in 2020 with a specialization in business Law.
Waleed joined Vellani & Vellani’s Islamabad office in 2021 and has extensive experience in public-private partnership projects, project finance transactions and M&A transactions. He also has an experience in litigation matters relating to civil law, rent and family matters.
His primary focus is on corporate transactional practice and he as represented different sponsors, project companies and lenders in various PPP transactions, M&A transactions and power projects.
Representation of a syndicate of financiers in relation to financing (conventional and Islamic) for
construction, operation and maintenance of approximately 39 kilometer long expressway being
undertaken on PPP basis in Sindh.
Representation of sponsors and the project company in connection with the project for
conversion of a superhighway into a controlled access motorway on a BOT basis (operations
phase).
Representation of sponsors and the project company in connection with the project for
construction, operation and maintenance of two motorways on PPP basis.
Representation of sponsors and the project company in relation to the project for construction,
operation and maintenance of an expressway on a PPP basis in Khyber Pakhtunkhwa. In
addition, Waleed assisted the lead counsel in the project company’s refinancing transaction,
replacing the long-term facility with a short-term bridge facility;
Representation of sponsors and the project company in respect of the project for design,
detailed engineering, operation and maintenance of a ring road project (financial close phase).
Representation of sponsors in relation to construction, operation and maintenance of an oil
pipeline.
Advising a governmental agency in relation to scope and jurisdiction of the same and
procurement processes for different PPP based projects;
Advising a FinTech company in relation to procurement of relevant approvals from various
governmental entities which include approvals of State Bank of Pakistan and Securities and
Exchange Commission of Pakistan, corporate housekeeping and internal administration matters.
Representation of various sponsors in respect of road, logistics, solid waste management,
water/irrigation PPP projects that are at different stages of procurement through the unsolicited
proposal route; and
Representing a public listed company in relation to its acquisition transaction whereby it
acquired majority stake in two wind power project companies.
