Asad Vellani

Having completed his LLB and LPC from the UK, Asad has returned to Pakistan to practice law as an assistant associate at Vellani and Vellani. As of current, Asad has worked on matters relating to a variety of areas of practice including matters relating to Project Finance, Property, Family, Corporate, Commercial, and Intellectual Property.

Corporate and Commercial
  • Advised on, drafted documentation for, and oversaw the procedure of a rights issue for the Pakistani subsidiary of a major multi-national energy company to the value of PKR 205 Million;
  • Conducted due diligence on the operations of a multinational company in Pakistan in relation to its listing on the Hong Kong Stock Exchange and advised on local laws aspects of transfer of shareholding and drafted board resolutions in this regard;
  • Assisted in the incorporation process and advised on post-incorporation matters for multi-national pharmaceutical
  • companies, energy companies, and manufacturing companies, including filing at the Securities and Exchange Commission of Pakistan;
  • Advised on various corporate and compliance matters for a number of multi-national and local companies of varying sectors, including pharmaceutical companies and a development network, with advice on matters including compliance with the Pakistani Code of Corporate Governance and Competition Law;
  • Advised on a cross border joint venture between two major manufacturing companies for the manufacture of motorcycle parts in Pakistan including reviewing and amending the shareholders' agreement;
  • Advising various companies on updating their articles of association in line with the current Companies law;
  • Conducting research and drafting memorandums on various matters including charitable organisations, insolvency and product liability.
Project Finance
  • Acted as legal counsel for the Lenders for a working capital facilities for the operation of a coal mine financed by way of a Running Musharaka – drafted, reviewed and amended the Running Musharaka Agreement – transaction value: PKR 5.4 Billion;
  • Acted as legal counsel for the Lenders for a working capital facilities for the operation of a coal power plant financed by way of Sukuk – drafted, reviewed and amended the Investment Agency Agreement, the Purchase Undertaking, and the Call-Option Undertaking – transaction value: PKR 3 Billion;
  • Acting as legal counsel for a major power company - reviewed and amended a framework agreement for an EPC Contract and a Gas Supply Agreement;
  • Acting as legal counsel for the Lenders for a number of wind power projects - reviewed and amended security documents including Letter of Hypothecation, Letter of Lien and Set-Off, Security Trust Deed, Share Pledge Agreement, and Memorandum of Deposit of Title Deeds.
    Intellectual Property
    • Drafted and reviewed responses to the Trademark Registry with regards to show-cause notices received by various entities;
    • Drafted notices of opposition and affidavits in evidence for trademark oppositions filed against and by our clients.
    Dispute Resolution
    • Accompanied and supported senior counsel in various litigious and non-contentious matters including a “Khulla” (marriage separation), divorces, and succession applications, and drafted and reviewed opinions and legal notices on various matters including tax issues, review of lease agreements, applicability of law, and tortious and criminal liability for accidents caused by negligence;
    Real Estate
    • Drafted and reviewed sale agreements, rent agreements, and gift deeds for properties in various districts of Karachi, as well as supervising the transfer and mutation process.
